Yahoo! sends formal reply to Microsoft keeping door open on possible transaction

Yahoo! sends formal reply to Microsoft keeping door open on possible transaction The Board of Directors of Yahoo! Inc., a leading global Internet company, today sent the following letter to Steve Ballmer, Chief Executive Officer of Microsoft Corporation.Dear Steve:

Our Board has reviewed your most recent letter with regard to the unsolicited proposal you made to acquire Yahoo! on January 31, 2008.

Our Board carefully considered your unsolicited proposal, unanimously concluded that it was not in the best interests of Yahoo! and our stockholders, and rejected it publicly on February 11, 2008. Our Board cited Yahoo!’s global brand, large worldwide audience, significant recent investments in advertising platforms and future growth prospects, free cash flow and earnings potential, as well as its substantial unconsolidated investments, as factors in its decision.

At the same time, we have continued to make clear that we are not opposed to a transaction with Microsoft if it is in the best interests of our stockholders. Our position is simply that any transaction must be at a value that fully reflects the value of Yahoo!, including any strategic benefits to Microsoft, and on terms that provide certainty to our stockholders.

Since disclosing our Board’s position with respect to your proposal, we have presented our three-year financial and strategic plan to our stockholders, which supports our Board’s determination that your unsolicited proposal substantially undervalues Yahoo!. Those meetings with our stockholders have also provided us an opportunity to hear their views.

We have continued to launch new products and to take actions which leverage our scale, technology, people and platforms as we execute on the strategy we publicly articulated. Today, in fact, we are announcing AMP! from Yahoo!, a new advertising management platform designed to dramatically simplify the process of buying and selling ads online.

Finally, our Board has been actively and expeditiously exploring our strategic alternatives to maximize stockholder value, a process which is ongoing. All of these actions have been driven by our overarching commitment to maximize stockholder value.

Our Board’s view of your proposal has not changed. We continue to believe that your proposal is not in the best interests of Yahoo! and our stockholders. Contrary to statements in your letter, stockholders representing a significant portion of our outstanding shares have indicated to us that your proposal substantially undervalues Yahoo!. Furthermore, as a result of the decrease in your own stock price, the value of your proposal today is significantly lower than it was when you made your initial proposal.

In contrast to your assertions about the effect of general economic conditions on our business, Yahoo!’s business forecasts are consistent with what we outlined in our last earnings call. As you know, we recently reaffirmed our Q1 and full year guidance, which is a testament to our ability to perform in line with our expectations despite the current economic environment. In addition, our three-year financial and strategic plan which we have made public demonstrates significant potential upside not previously communicated to the financial markets. This plan has received positive feedback from our stockholders, further strengthening the view that Yahoo! is worth well more as a standalone company than the value offered in your proposal, and would be even more valuable to Microsoft. Your own statements have made clear the strategic importance of Yahoo!’s substantial assets and capabilities to Microsoft.

We regret to say that your letter mischaracterizes the nature of our discussions with you. We have had constructive conversations together regarding a variety of topics, including integration and regulatory issues. Your comment that we have refused to enter into negotiations to conclude an agreement are particularly curious given we have already rejected your initial proposal, nominally $31 per share at the time, for substantially undervaluing Yahoo! and your suggestions in your letter and the media that you are considering lowering the value of your proposal. Moreover, Steve, you personally attended two of these meetings and could have advanced discussions in any way you saw fit.

As to antitrust, we have discussed with you our concerns. Any transaction between us would result in a thorough regulatory review in multiple jurisdictions. As a follow up to a recent meeting among our respective legal advisors we had on this topic, and at your request, we provided to you on March 28 a list of additional information we would need to further our understanding of the regulatory issues associated with any transaction. To date, you have still not provided any of the requested information.

We consider your threat to commence an unsolicited offer and proxy contest to displace our independent Board members to be counterproductive and inconsistent with your stated objective of a friendly transaction. We are confident that our stockholders understand that our independent Board is best positioned to objectively and knowledgeably evaluate our Company’s alternatives and to maximize value.

In conclusion, please allow us to restate our position, so there can be no confusion. We are open to all alternatives that maximize stockholder value. To be clear, this includes a transaction with Microsoft if it represents a price that fully recognizes the value of Yahoo! on a standalone basis and to Microsoft, is superior to our other alternatives, and provides certainty of value and certainty of closing. Lastly, we are steadfast in our commitment to choosing a path that maximizes stockholder value and we will not allow you or anyone else to acquire the company for anything less than its full value.

Very truly yours,

Roy Bostock Chairman of the Board

Jerry Yang Chief Executive Officer

Microsoft Surface transforms mobile phone shopping at select AT&T retail stores

Microsoft Surface transforms mobile phone shopping at select AT&T retail stores AT&T Inc. and Microsoft Corp. today announced a collaborative alliance that will transform the way consumers shop for mobile devices. AT&T will become the first company in the world to bring Microsoft Surface(TM) to life in a retail environment, giving customers the ability to explore their mobile worlds using touch and device-recognition technology.Microsoft Surface is the first commercially available surface computer from Microsoft. Beginning April 17, customers can experience Microsoft Surface in select AT&T retail locations, including stores in New York City, Atlanta, San Antonio and San Francisco. Based on the success and learning from these initial pilot deployments, plans for further expansion across AT&T’s 2,200 U.S.-based retail stores will be determined.

Microsoft Surface is a 30-inch table-like display that gives individuals or multiple people the opportunity to interact with devices and content in a way that feels familiar — by using touch, gestures and placement of devices on the display. In essence, it’s a surface come to life for exploring, learning, sharing, creating, buying and much more.

AT&T plans to harness the power of Surface to provide its retail store visitors with unique opportunities to learn about the growing universe of mobile applications and devices. The interactive touch displays, which will work without a traditional mouse or keyboard, will allow customers to:

– Learn. Customers can review features of a particular mobile device by simply placing it on the display. Surface will recognize the device and provide a graphical overview of its capabilities. Customers can place two devices side by side on the unit and easily compare their features.

– Explore. Customers can view interactive coverage maps at the national, state, local or street level, using simple touch and hand movement to scale and move the maps, determining a customer’s coverage area.

– Customize. In the future, customers will be able to drag and drop ringtones, graphics, video and more by “grabbing” content with their hands from a menu on the display and “dropping” it into the phone.

In addition to these exciting features, AT&T and Microsoft will continue to collaborate on new and innovative ways to expand Surface capabilities in AT&T stores.

“We are thrilled to bring this groundbreaking new technology to our stores so that we can introduce customers to their mobile worlds in a very personal and easy way,” said Ralph de la Vega, president and CEO, AT&T Mobility. “We look forward to working with Microsoft to continue developing new ways for our customers to learn about the ever-growing lineup of mobile devices and applications.”

“Microsoft Surface transforms the retail environment from a transaction destination to a customer engagement destination,” said Robbie Bach, president, Entertainment & Devices Division, Microsoft. “With innovative and intuitive ways of accessing information and digital content on Microsoft Surface, consumers now have an entirely new, unique and personalized shopping experience. We’re excited to have AT&T bring this to life and be the first company showcasing Surface in its retail locations.”

AT&T plans to unveil the new displays in stores in New York City, Atlanta, San Antonio and San Francisco on April 17, followed by additional stores in other markets based on the success of the first phase of deployment.

Relevantis releases first ad platform to support Android

Relevantis releases first ad platform to support AndroidRelevantis, Inc. today released the first advertising solution to support Android, Google’s new mobile phone platform. Beating Google to the punch, Relevantis’ Universal Ad Platform supports Android-optimized web sites but is aimed squarely at developers of Android widgets, applications and games. The platform allows these products to include relevant advertising, giving developers an ad-supported distribution option. Relevantis takes a small portion of advertising revenues as its fee, and only makes money when the developer makes money.Relevantis specializes in supporting highly relevant advertising within embedded applications and widgets. Its new platform enables Android developers to include personalized and location-aware advertising within their applications. And, unlike the expected Google ad platform for Android, Relevantis supports a variety of ad networks — not just Google.

“When Google announced Android, everybody expected that it would exclusively support Google ads. However, Google’s ad platform doesn’t even support Android applications at all yet; and, when it does, the ads will most likely be available for Android-optimized web sites instead of embedded applications,” said Relevantis CEO Scott Searle, adding that “Relevantis’ solution is uniquely designed to support Android widgets, games and other embedded applications as well as web sites. And, perhaps more importantly, our platform supports multiple ad networks, not just Google. So, developers can choose to receive ads from one or more major networks like Microsoft, Yahoo and AOL in addition to Google.”

Relevantis provides Android developers with access to a powerful set of application programming interfaces (APIs) that allow for full control over the advertising presented in their products. The APIs also enable the caching of ads on Android devices. This allows applications to display advertising even when the device is out of range of a network or when it is in airplane mode. For example, an Android user riding the subway in New York City can view and interact with ads without being connected to the Internet.

“The goal is totally integrated ads that compliment the Android experience,” said Mr. Searle.

Sprint delivers first EV-DO Rev. A Handset - the Mogul by HTC

Sprint delivers first EV-DO Rev. A Handset - the Mogul by HTCSprint announced that it is offering the industry’s first EV-DO Rev. A-capable handset as part of a software upgrade available for the Mogul by HTC. Introduced in June 2007, the Mogul is a Windows Mobile device operating on the Sprint Mobile Broadband Network and is packed with advanced wireless capabilities to keep users productive and connected for personal and professional reasons — all at SprintSpeed. The new software ROM and downloading instructions are available at www.america.htc.com/mogulupdate.EV-DO Rev. A technology supports faster data rates and higher system capacity enabling users to send and receive large amounts of data at broadband speeds (speeds comparable to basic DSL). Wherever EV-DO Rev. A coverage is available, average download speeds will increase from 400-700 Kbps to 600 Kbps-1.4 Mbps and average upload speeds will increase from 50-70 Kbps to 350-500 Kbps. These increased data speeds provide customers the instant gratification of quickly downloading large e-mail files on their phone while in a taxi cab, finishing and sending the sales report before their plane takes off and wirelessly downloading music to listen to directly from a Sprint handset. Because Sprint embraces an open approach to mobile Web access, customers may access the Web sites of their choice and download third party applications to enjoy anytime, anywhere. The Sprint Mobile Broadband Network (inclusive of data roaming) reaches more than 234 million people, 13,453 cities and 1,321 airports, with the vast majority upgraded to the faster EV-DO Rev. A technology.

Besides enabling increased data speeds for e-mail, Web, document management and other tasks, the free software download also provides advanced GPS functionality allowing support of popular applications such as Sprint Navigation. Sprint Navigation provides audio and visual turn-by-turn directions, more than 10 million local listings, and one-click traffic rerouting on compatible phones, similar to an in-vehicle GPS system.

“The Mogul by HTC now delivers the full power of the Sprint Mobile Broadband Network from the convenience of a handset, giving our customers a speed and capacity advantage unavailable anywhere else in the marketplace,” said Danny Bowman, vice president of customer equipment for Sprint. “Besides accessing core capabilities like calendar management, contact lists, personal and corporate email, and viewing documents, customers can use the benefits of SprintSpeed to stay connected, informed and entertained at anytime.”

The enhanced capabilities of the Mogul combined with Sprint’s recently launched $99.99 Simply Everything pricing plan delivers undeniable value to Sprint customers. The $99.99 Simply Everything plan offers customers unlimited voice and data and is available for any Sprint or Nextel Direct Connect handset. Pricing complexity and concerns about overage charges are virtually eliminated letting customers think more about how they can use their wireless device for work and play and less about their bill. For families, Simply Everything includes an incremental $5 discount for each incremental line, up to five lines on the same bill. For example, two lines would amount to $194.98 ($99.99 + $94.99); a third line would cost an additional $89.99. This is in sharp contrast to the multi-line savings offered by some other carriers. Existing Sprint customers can switch to the “Simply Everything” plan without extending their current contract. New line activations require a two-year agreement.

The Mogul continues to be a premium Windows Mobile device in the Sprint device portfolio replicating the familiar Windows PC-based experience and utilizing the Microsoft Windows Mobile 6 Professional Edition to deliver key benefits including increased security and added support for HTML email and Microsoft Office Mobile. Other key features include:

* Innovative design with slide-out QWERTY keyboard, large touch screen, a thumbwheel and five-way navigation button.

* Support for Sprint applications including Sprint Music Store and OnDemand.

* ActiveSync software allowing fast and accurate synching of Outlook Mobile applications included on the device such as e-mail, calendar, task lists and contacts.

* Phone as Modem capabilities to use the phone as a wireless modem with a laptop.

* A 2-megapixel camera with flash, auto-focus and camcorder capabilities.

* Stereo Bluetooth wireless technology.

The Mogul by HTC is available in Sprint Stores, online at www.sprint.com and in Sprint business sales channels for $199.99 with a two-year service agreement and a $100 mail-in-rebate.

Expanded Application Development Support

RIM continues to expand the opportunities for software developers to create innovative and powerful wireless applications that leverage the inherent security, network efficiency, reliability and push capabilities of the BlackBerry platform and take advantage of new BlackBerry smartphone features. With the recent release of the BlackBerry Java Development Environment (JDE) v4.3.0, new Application Programming Interfaces (APIs) have been added to the thousands previously available, enabling developers to offer even more robust and exciting business and lifestyle applications to the more than 12 million BlackBerry subscribers around the world. In addition, support for the following Java Micro Edition APIs is also now available:

- JSR 205: Wireless Messaging 2.0 (MMS Support) - provides the ability to send and receive messages that include images, sound and video via Multimedia Messaging Service (MMS).

- JSR 211: Content Handler API (CHAPI) - allows applications to invoke other applications, including native BlackBerry applications, to handle specific content types.

- JSR 238: Internationalization - allows developers to easily create a single application for multiple languages and regions across the globe with proper location-specific language, time conventions, currencies, and number formats.

- JSR 172: Web Services - enables developers to quickly develop and deploy applications that act as web services clients.

These new BlackBerry platform enhancements are scheduled to be phased in to new software releases during the first half of 2008 and will be showcased at Lotusphere this week.

Three new Zune models will be on store shelves tomorrow: the black Zune 80GB, which has a bright 3.2-inch screen and comes with premium in-ear noise-isolating headphones (ERP $249.99), and the slim, ultra-portable Zune 4GB (ERP $149.99) and the Zune 8GB (ERP $199.99), both available in pink, green, black and red. *Redesigned Zune software. Easily drag and drop music, videos and photos to simple icons to sync content to a Zune, create playlists or burn CDs. Search for an artist to find all relevant content — what’s already in a consumer’s collection and what’s available in Zune Marketplace.

*Zune Social. Consumers can find music they like by seeing what other like-minded individuals are listening to. People can create customizable Zune Cards, which update automatically based on the music they listen to on their Zune and via the Zune software on their PC. See what friends are listening to, play samples of music directly from others’ Zune Cards, send song recommendations or browse artist pages. When consumers find something they like, they can link directly to Zune Marketplace to buy it.

*Updated Zune Marketplace. The new Zune Marketplace is designed to make it fun to browse. Choose from over 3 million songs and a broad collection of albums, music videos, podcasts, and digital rights management (DRM)-free MP3s to download and sync to a Zune.

*Zune Pass. For about the price of one CD per month ($14.99 per month), consumers can get flat-rate access to millions of available songs. They also have the option to buy songs, albums and music videos individually.

*Recorded television content to go. The Zune software will now import broadcast content recorded on Microsoft Windows Media Center for Windows Vista Home Premium or Windows Vista Ultimate, so consumers can sync it to their Zune.

Windows update patches trigger Skype outage

Windows update patches trigger Skype outage“On Thursday, 16th August 2007, the Skype peer-to-peer network became unstable and suffered a critical disruption. The disruption was triggered by a massive restart of our users’ computers across the globe within a very short timeframe as they re-booted after receiving a routine set of patches through Windows Update. The high number of restarts affected Skype’s network resources. This caused a flood of log-in requests, which, combined with the lack of peer-to-peer network resources, prompted a chain reaction that had a critical impact.

Normally Skype’s peer-to-peer network has an inbuilt ability to self-heal, however, this event revealed a previously unseen software bug within the network resource allocation algorithm which prevented the self-healing function from working quickly. Regrettably, as a result of this disruption, Skype was unavailable to the majority of its users for approximately two days.

The issue has now been identified explicitly within Skype. We can confirm categorically that no malicious activities were attributed or that our users’ security was not, at any point, at risk.

This disruption was unprecedented in terms of its impact and scope. We would like to point out that very few technologies or communications networks today are guaranteed to operate without interruptions.

We are very proud that over the four years of its operation, Skype has provided a technically resilient communications tool to millions of people worldwide. Skype has now identified and already introduced a number of improvements to its software to ensure that our users will not be similarly affected in the unlikely possibility of this combination of events recurring.

The Skype community of users has been incredibly supportive and we are very grateful for all their good wishes.”

Smartphone shipments to reach 113 million in 2007

According to new research report from the analyst firm Berg Insight, global shipments of smartphones running advanced operating systems will reach 113 million units in 2007. Increasing at an average annual compound growth rate 25.6 percent, shipments are forecasted to reach 365 million units by 2012. Smartphones will then account for over 22 percent of all handsets worldwide, compared to 10 percent today.Berg Insight estimates that Symbian OS was the leading smartphone operating system in 2006 with a market share of 63 percent. Linux was the second largest platform, followed by Windows Mobile. “Nokia’s commitment to Symbian OS as the core of the S60 platform is the key to its success,” said Andre Malm, telecom analyst, Berg Insight. “In the future there will however be increasingly strong competition from Linux for consumer devices and Windows Mobile in the enterprise segment.”

Microsoft’s performance in the smartphone segment is consistently improving, even though Windows Mobile is still far from threatening either Symbian OS or Linux for the top market positions. The once popular PDA operating system Palm OS has virtually disappeared from the market and is now being converted into a version of Linux. Apple’s OS X will become a new entrant on the smartphone operating systems market this year with the launch of the iPhone.

Microsoft, Manufacturers introduce new generation of devices

Microsoft, Manufacturers introduce new generation of devicesMonday at the Windows Hardware Engineering Conference (WinHEC) 2007, Microsoft Corp. and nine industry-leading companies — ASUSTek Computer Inc., GN, LG-Nortel Co. Ltd., NEC Corp., Plantronics Inc., Polycom Inc., SAMSUNG, Tatung Co. and ViTELiX — will introduce a new generation of devices that connect the workplace phone to e-mail, instant messaging, real-time presence information, conferencing, voice over Internet Protocol (VoIP) and mobile communications.Beginning tomorrow, a new wave of phones and devices will become available for use in the public beta program of Microsoft Office Communications Server 2007 and Microsoft Office Communicator 2007. Microsoft is providing the device manufacturers with design specifications, helping to assure customers that the new phones and devices work easily with Office Communications Server and Office Communicator.

“Today’s office phone is marooned on an island, separate from the rest of the communications tools that information workers rely on to do their jobs,” said Jeff Raikes, president of the Microsoft Business Division. “By weaving the business phone together with e-mail, instant messaging, presence, conferencing and the productivity software people use most, we are putting voice communications back into business.”

Using an open approach and published software interfaces, Microsoft is enabling companies to innovate new workplace phones and devices that make business communications more effective and productive. The products are nearing the end of the Microsoft qualification cycle, which will help ensure the devices and phones deliver the following:

*”Just Works” experience. The qualified phones and devices work out of the box with Microsoft unified communications software. It’s as simple as plug-and-play.

*Greater choice and innovation. With an active partner community building phones and devices, customers are offered more choices when it comes to designs, cost and feature innovations. The 15 phones and devices to be unveiled tomorrow include Internet protocol (IP) phones, Universal Serial Bus (USB) phones, wired and wireless headsets, conferencing phones, LCD monitors and laptops.

*Improved economics. Because many companies will deliver Microsoft-qualified devices, customers will have more options, including devices tailored to the needs of specific types of workers and that deliver more value for less cost. According to Gartner Inc., “handsets typically cost around 40 percent to 45 percent of the total telephony installation.”
